# License & Compliance

This document confirms that PrivyNote operates in compliance with applicable laws and regulations, and outlines the licensing terms governing use of the PrivyNote application and platform. PrivyNote is a **proprietary, closed-source** decentralized application for end-to-end encrypted private note-taking.

### 1. Application License

PrivyNote grants end users a **limited, non-exclusive, non-transferable, revocable license** to access and use the PrivyNote application solely for lawful personal or internal business purposes, subject to these terms.

This license does not include any rights to:

* Sublicense, sell, or commercially redistribute the application or its components.
* Modify, reverse engineer, or create derivative works from the software.
* Use the application in any manner that violates applicable laws.

### 2. Token & Rewards Disclosure

**PrivyNote does not distribute cryptocurrency tokens, digital assets, airdrops, staking rewards, or any form of financial rewards to its users.** PrivyNote is a pure utility dApp — its sole purpose is to provide end-to-end encrypted, private note-taking. There is no token offering, rewards program, or financial instrument associated with this application.

### 3. Regulatory Compliance

PrivyNote is designed and operated in accordance with applicable legal and regulatory requirements, including but not limited to:

PrivyNote is a decentralized application that may interact with public blockchain networks. Users are responsible for ensuring their use of any connected wallet or blockchain infrastructure complies with the laws of their jurisdiction. PrivyNote does not provide financial, investment, or legal advice.

On-chain transactions conducted through or in connection with PrivyNote are irreversible and public. Users should exercise caution and due diligence before executing any blockchain transaction.

### 5. Prohibited Uses

You may not use PrivyNote to:

* Violate any applicable law or regulation.
* Store, transmit, or distribute illegal, harmful, or infringing content.
* Attempt to gain unauthorized access to the application or its infrastructure.
* Engage in fraudulent, deceptive, or manipulative conduct.
* Circumvent any security, access control, or technical protection measures.

### 6. Disclaimer of Warranties

PrivyNote is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the application will be uninterrupted, error-free, or free of harmful components. Use of the application is at your own risk.

### 7. Limitation of Liability

To the maximum extent permitted by applicable law, PrivyNote shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the application — including loss of data, profits, or digital assets.

### 8. Governing Law

This License Agreement and any disputes arising from it shall be governed by applicable law. PrivyNote reserves the right to seek legal remedies for violations of this agreement in any competent jurisdiction.

### 9. Updates to This Document

PrivyNote reserves the right to update or modify this License & Compliance document at any time. Continued use of the application following any changes constitutes acceptance of the revised terms.
